Tesco PLC - Transaction in Own Shares

Tesco PLC announces that on 24 May 2011 it purchased from Nomura International Plc 1,319,361 of its ordinary shares. The highest price paid was 414.70 pence and the lowest price paid was 411.85 pence. The purchased shares will all be cancelled.

The shares were purchased in order to offset dilution resulting from the issue of shares in connection with the company's employee share incentive schemes.

This announcement is made in accordance with LR 12.4.6.
