AVEVA Group Plc (the "Company")Transaction in Own Shares

The Company announces that on 10 July 2013 it purchased for cancellation 1 (one) of its ordinary shares at a price of 2551.00 pence per share. Following this purchase and cancellation the Company has 68,115,648 ordinary shares of 3.33p in issue. Therefore the total number of voting rights in the Company is 68,115,648.

The above total voting rights figure may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interests in, or a change to their interest in the Company under the Rules.
