Transaction in Own Shares

Debenhams plc (the "Company") announces that on 23 October 2013 it purchased 383,025 of its ordinary shares of 0.01p each through Citigroup Global Markets Limited at an average price of 110.20 pence per share. The highest and lowest prices paid for these shares were 111.00 pence per share and 109.60 pence per share respectively. The purchased shares will all be held as treasury shares.

Following the above purchase, the Company holds 61,093,213 ordinary shares as treasury shares. The total number of ordinary shares in issue (excluding shares held as treasury shares) is 1,225,750,228.

The total number of voting rights in the Company, excluding treasury shares, as at 23 October 2013 is 1,225,750,228. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Debenhams under the FCA's Disclosure and Transparency Rules.
