TRANSACTION IN OWN SHARES

The Board of Triple Point VCT 2011 plc announces that on 17 February 2020, it purchased for cancellation 220,809 Venture Shares of 1p each in the capital of the Company ("Venture Shares") at a price of 94.06p per Venture Share.

Total Voting Rights

Following the transaction, the issued share capital of the Company is as follows:

9,951,133 A Ordinary Shares

6,805,351 B Ordinary Shares

6,691,529 Venture Shares

The Company does not hold any shares in Treasury. Accordingly, the total number of voting rights in the Company is 23,448,013. This figure may be used by shareholders as the denominator for the purposes of calculating whether or not they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.

The Company is a Venture Capital Trust incorporated in July 2010. The Investment Manager is Triple Point Investment Management LLP. The Company was established to fund small and medium sized enterprises (SMEs).
