MITIE Group PLC (the "Company") - Transaction in own Shares

Pursuant to the general authority given to the Company by shareholders, the Company announces that it has purchased ordinary shares of 2.5p ("Shares") each as follows:

Date of purchase: 24 November 2011

Number of Shares purchased: 325,000

Highest price paid: 244.00p

Lowest price paid: 241.525p

The purchase represented an average price of 243.0223 pence per Share. The purchased Shares will be cancelled. Following this purchase, the total number of voting rights in the Company is 359,381,596. The Board approved the purchase of Shares in order to offset the increase in share numbers arising from the issue of Shares in connection with acquisitions under the MITIE Model announced on 17 August 2011.
