Meggitt announces that today it has purchased for cancellation from Merrill Lynch International the following numbers of its ordinary shares of five pence each:

Lowest price paid per share (pence):
| 488.5 |
Following settlement of the above transaction, the total number of ordinary shares in issue will be 774,449,113 (excluding treasury shares). Meggitt holds 1,351,376 shares in treasury.
