Transaction in Own Shares

21 January 2014 St Ives plc - ("St Ives" or "the Company") Transaction in own shares On 16 December 2013, the Company announced that it would continue to makemarket purchases of its Ordinary Shares to be held in treasury to satisfy thevesting of share scheme awards and to satisfy share-based consideration forexisting and future acquisitions. It currently holds 635,780 shares intreasury. As the Company is to enter into a close period ahead of its half year resultsfor the 26 weeks ended 31 January 2014, the Company has appointed NumisSecurities Limited to manage an irrevocable programme during the close period(the "Close Period Share Buy-back") to buy-back shares within certain pre-setparameters. The Close Period Share Buy-back will be effective from today andwill run up to the announcement of the half year results on 11 March 2014. The maximum price paid continues to be limited to no more than the higher of(i) an amount equal to 105 per cent. of the average middle quotations for anordinary share in the Company as derived from The London Stock Exchange DailyOfficial List for the 5 business days immediately preceding the date on whichsuch share is contracted to be purchased and (ii) the amount stipulated byArticle 5 (1) of the EU Buy-back and Stabilisation Regulation (being the higherof the price of the last independent bid for an ordinary share in the Companyon the trading venues where the market purchases by the Company pursuant to theauthority conferred by the shareholders will be carried on. Any shares purchased in the Close Period Share Buy-back will count towards theCompany's general buy-back authority of 10% of the Company's issued sharecapital, excluding treasury shares, as approved at the Company's Annual GeneralMeeting on 26 November 2013.
