The Board of Baronsmead VCT 3 plc announces that on 19 December 2012 theCompany purchased 185,000 ordinary shares of 10p at a price of 103.50 pence pershare to be held in Treasury.

Following the share buyback, the Company's issued ordinary share capitalconsists of 71,473,251 shares of which 8,929,214 shares are held in Treasury.Therefore the total number of shares with voting rights in Baronsmead VCT 3 plcis 62,544,037 ordinary shares of 10p. Each share has one voting right.
