TRANSACTION IN OWN SHARES

John Menzies PLC announces that, on 21 December 2015, it purchased through Numis Securities Limited 12,425 ordinary shares of 25p each at an average price of 398.625 pence per share. The purchased shares will all be held as treasury shares.

Following the above purchase, the Company holds 345,176 ordinary shares in Treasury and has a total of 61,370,382 ordinary shares of 25p each (excluding shares held in Treasury) in issue. The number of ordinary shares purchased represented approximately 0.02% of the voting rights attributable to the total ordinary shares in issue prior to such purchases.
