Transaction in Own Shares

Debenhams plc (the "Company") announces that on 6 December 2012 it transferred 6,238 ordinary shares (formerly held as treasury shares) to participants of The Debenhams Performance Share Plan. The price paid for these shares was 0.01 pence per share.

Following the above transfer, the Company holds 29,760,167 ordinary shares as treasury shares. The total number of ordinary shares in issue (excluding shares held as treasury shares) is 1,257,046,132.

The total number of voting rights in the Company, excluding treasury shares, as at 6 December is 1,257,046,132. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
