Smith & Nephew plc - Transaction in Own Shares

Smith & Nephew plc announces that on 11 November 2011 it transferred a total of 14,853 ordinary shares of US$0.20 each to participants of the Smith & Nephew ShareSave Plan, who had exercised options on that date.

The shares, which were all formerly held as Treasury shares, were transferred as follows:

·; 4,705 ordinary shares at an exercise price of 348p per share;

·; 396 ordinary shares at an exercise price of 380p per share;

·; 225 ordinary shares at an exercise price of 461p per share; and

·; 9,527 ordinary shares at an exercise price of 507p per share.

Following the above transactions, Smith & Nephew plc holds 61,196,303 ordinary shares in treasury, and has 893,280,652 ordinary shares in issue (excluding treasury shares).
