Transaction in Own Shares

TREASURY SHARE TRANSACTIONS

Halma p.l.c. announces that it has transferred 80,722 ordinary shares held by the Company in Treasury to an employee and a former employee of the Halma Group in satisfaction of their awards under the Company's Performance Share Plan.

Halma p.l.c. further announces that it has purchased 294,200 of its ordinary shares on 16 September 2008 through Dresdner Kleinwort Securities Limited at 199.9p per share. The purchased shares will not be subject to cancellation and will all be held as treasury shares in order to satisfy awards under the Halma p.l.c. Performance Share Plan 2005.

Following the above transactions, Halma p.l.c. holds 1,064,792 ordinary shares as treasury shares. The total number of ordinary shares in issue (excluding shares held as treasury shares) is 374,147,085.
