Transaction in Own Shares

The Board of Terra Capital plc (the "Company") announces that on the 30 September 2013 the Company purchased 600,000 of its own ordinary shares of US$0.10 nominal value at a price of US$ 0.80 per share in the market, such shares to held in treasury.

The purchase represents 0.854% per cent approximately of the shares in issue. After the purchase there remain 69,629,236 shares in issue excluding the 7,626,423 ordinary shares held in treasury.

The above figure of 69,629,236 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FSA's Disclosure and Transparency Rules.
