TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 14 December 2009 it transferred 7,344 ordinary shares of 25 pence each from treasury to participants in its employee share plans. The transfer price was 540 pence.

Following the transfer of these shares, the Company holds 5,151,622 of its ordinary shares in treasury and has 144,477,665 ordinary shares in issue (excluding treasury shares).
