Transaction in own shares and Total Voting Rights
bwin.party announces that on 29 June 2012 it purchased, through Numis Securities, 364,482 of its ordinary shares for cancellation at an average price of 109.65 pence per share. The highest price paid was 110.50 pence per share and the lowest price paid was 108.80 pence per share.
Following the above purchase, the Company has now bought back 41,751,582 shares for cancellation, since 6 September 2011 when the buy-back programme commenced.
In accordance with Chapter 5 (Vote Holder and Issuer Notification Rules) of the FSA's Disclosure and Transparency Rules (the 'DTRs'), and following the above purchase bwin.party makes the following declaration to the market:
As at 29 June 2012 bwin.party has a total of 812,674,805 ordinary shares of 0.015p each issued and admitted to trading. Each share carries the right to one vote, with the exception of shares held by the Company's employee benefit trust, bwin.party Shares Trust (the 'Trust'), which has waived the voting rights in respect of the shares it holds. As at 29 June 2012 the Trust holds 6,049,714 shares and therefore the total number of shares with voting rights is 806,625,091.
The total voting rights figure of 806,625,091 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, bwin.party under the DTRs.
Note: The Company's articles of association provide that the provisions of Chapter 5 of the DTRs, as revised from time to time, shall apply to the Company as if the Company were not a 'non-UK issuer' as defined in the DTRs.
