Transaction in own shares
GB Group plc ("GBG", "Group" or the "Company"), announces that, in accordance with the terms of its share buyback programme originally announced on 23 July 2025 and as extended on 1 April 2026 ("Share Buyback Programme"), the Company purchased the following number of its Ordinary 2.5p Shares ("Ordinary Shares") through Deutsche Bank AG, London Branch (trading for these purposes as Deutsche Numis) ("Deutsche Numis").

The purchased shares will be cancelled.
Additionally, the Company also announces that it intends to make use of the FCA's updated notification deadline under UKLR 9.6.6R, which permits post-trade notifications of purchases of own shares to be made no later than the end of the seventh daily market session following the date of execution. Accordingly, the Company expects to move from daily to weekly market notifications in respect of shares purchased under the Programme.
Following the purchase and cancellation of these shares, the remaining number of Ordinary Shares in issue will be 233,531,997 with no shares held in treasury. The total voting rights in the Company will therefore be 233,531,997. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
