TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 7 December 2009 it transferred 489 ordinary shares of 25 pence each from treasury to participants in its employee share plans. The transfer price was 540 pence.

Following the transfer of these shares, the Company holds 5,161,544 of its ordinary shares in treasury and has 144,467,743 ordinary shares in issue (excluding treasury shares).
