Mitie Group plc (the "Company") - Transaction in own Shares

Pursuant to the general authority given to the Company by shareholders, the Company announces that it has purchased ordinary shares of 2.5p each ("Shares") as follows:

Date of purchase: 25 May 2016

Number of Shares purchased: 85,000

Highest price paid: 285.35p

Lowest price paid: 282.60p

The purchase represented an average price of 284.98p per Share.

The purchased Shares will be cancelled. Following this purchase and cancellation, the total number of voting rights in the Company is 356,320,840.
