Transaction in Own Shares

 

NCC Group plc ("NCC Group" or the "Company") announces today it has purchased the following number of its ordinary shares of 1 pence each through Investec Bank plc.

The Company intends to cancel the purchased shares.

Including the above purchases, NCC Group has purchased a total of 999,496 ordinary shares since the commencement of the buyback programme.

Following the purchase and cancellation of these shares, the Company's issued share capital will consist of 314,228,409 shares. The Company does not hold any shares in Treasury.

Once the shares are cancelled, the total number of voting rights in NCC Group will therefore be 314,228,409. This figure may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest, or a change to their interest, in the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.

2.9 Announcement

In accordance with Rule 2.9 of the City Code on Takeovers and Mergers (the "Code"), NCC confirms that, as at the date and time of this announcement, it has in issue 315,227,905 ordinary shares with a nominal value of 1 pence each, all of which carry one voting right per share ("Ordinary Shares"). The Company does not hold any Ordinary Shares in treasury. Therefore, the total number of voting rights in the Company is 315,227,905.
