Transaction in Shares by EBT

Impax Asset Management Group plc (the "Company") announces that Sanne Trust Company Limited, as trustees of the Impax Asset Management Group plc Employee Benefit Trust 2012 (the "EBT"), purchased 250,000 ordinary shares of 1 pence each in the capital of the Company ("Shares") at a price of 35 pence per Share on 30 July 2013 and 500,000 Shares at a price of 35 pence per Share on 31 July 2013.

Following these purchases, the EBT holds 18,351,496 Shares, representing 14.37% of the Company's current voting rights.
