MITIE Group PLC (the "Company") - Transaction in own Shares

Pursuant to the general authority given to the Company by shareholders, the Company announces that it has purchased ordinary shares of 2.5p ("Shares") each as follows:

Date of purchase: 26 November 2013

Number of Shares purchased: 317,643

Highest price paid: 313.95p

Lowest price paid: 313.95p

The purchase represented an average price of 313.95p per Share.

The purchased Shares will be held in treasury rather than being cancelled, so that they can be reissued at a later date, if required. Following this purchase, the total number of voting rights in the Company is 366,912,578 and the total number of shares held in treasury is 5,800,000. The Board has approved the purchase of Shares in order to offset the increase in share numbers anticipated from the issue of Shares in connection with the Company's share schemes.
