Schroders plc (the "Company") announces that it will commence a non-discretionary programme (conditional on Court sanction of the scheme of arrangement for the Company's acquisition of Cazenove Capital Holdings Limited) to purchase up to 300,000 non-voting ordinary shares ("Shares") during its close period which commences on 1 July 2013 and is scheduled to end on 8 August 2013. Any Shares purchased will be cancelled.

The buy back programme will be managed by an independent third party, which makes its trading decisions independently of, and uninfluenced by, the Company.

Any acquisitions will be effected within certain pre-set parameters, and in accordance with both the Company's general authority to purchase shares and Chapter 12 of the Listing Rules which requires that the maximum price paid be limited to the higher of (i) the price that is 5 per cent. above the average of the middle market price of the Shares, as derived from the London Stock Exchange Daily Official List, for the five business days immediately prior to such purchase and (ii) the higher of the price of the last independent trade and the highest current independent bid on the London Stock Exchange at the time the purchase is carried out.

The Company confirms that it currently has no unpublished price sensitive information.
