Tesco PLC - Transaction in Own Shares

Tesco PLC announces that on 7 June 2011 it purchased for cancellation 2,136,861 of its ordinary shares pursuant to the irrevocable non-discretionary arrangement it entered into with Nomura International Plc on 27 May 2011. The highest price paid was 417.50 pence and the lowest price paid was 411.70 pence.

The shares were purchased in order to offset dilution resulting from the issue of shares in connection with the company's employee share incentive schemes.

This announcement is made in accordance with LR 12.4.6.
