TRANSACTION IN OWN SHARES

BG Group plc (the "Company") has today transferred 1,925,000 Shares from Treasury, for nil consideration, to the Trustee of its Employee Share Trust to satisfy awards made to participants which are due to vest under the LTIP on 4 September 2015.

Following the above transfer, the Company holds 204,691,731 Shares in Treasury and has a total of 3,417,665,976 Shares (excluding Shares held in Treasury) in issue.

This announcement is made pursuant to LR 12.6.4.
