Tesco PLC - Transaction in Own Shares

Tesco PLC announces that on 21 June 2011 it purchased from Nomura International Plc 1,583,318 of its ordinary shares. The highest price paid was 406.65 pence and the lowest price paid was 401.45 pence. The purchased shares will all be cancelled.

The shares were purchased in order to offset dilution resulting from the issue of shares in connection with the company's employee share incentive schemes.

This announcement is made in accordance with LR 12.4.6.
