Transaction in own shares

Micro Focus International plc announces that, on 8 September 2011, it purchased through Numis Securities Limited 4,415,738 Ordinary Shares of 10 pence each at an average price of 324.49 pence per share. The highest price and lowest price paid for these shares was 324.5 and 317.0 pence respectively. The purchased shares will all be held as treasury shares. The number of ordinary shares purchased represented approximately 2.3% of the voting rights attributable to the total ordinary shares in issue prior to such purchases.

In accordance with the provisions of the Disclosure and Transparency Rules of the Financial Services Authority, the Company confirms that its issued share capital comprises 206,023,836 Ordinary Shares of 10 pence each, of which 14,294,127 Ordinary Shares are held in Treasury. Therefore, the total number of voting rights in the Company is 191,729,709.

The above figure (191,729,709) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules.
