Transaction in Own Shares

On 21 February 2012, AMEC plc ("the Company") announced that it intended to complete a £400 million share buyback programme within the next twelve months.

Further to the announcement on 21 December 2012 of its irrevocable, non-discretionary Prohibited Period Share Repurchase Programme, the Company announces that under the terms of that programme it has today purchased for cancellation 186,766 ordinary shares in the Company at a price of 1106.72 pence per share through Deutsche Bank AG. This purchase equates to approximately 0.06 per cent of AMEC's current issued share capital excluding Treasury shares prior to this purchase.

The highest purchase price paid was 1111.00 pence per share and the lowest purchase price paid was 1100.00 pence per share.

Following this change AMEC's total issued share capital is 304,913,804 ordinary shares, of which 6,801,062 are registered as Treasury Shares, leaving a balance of 298,112,742 shares with voting rights.

Cumulative purchases to date under the buyback programme amount to approximately £390.82 million.
