Gooch & Housego PLC31 May 2007 Gooch & Housego PLC (the 'Company' or 'Gooch & Housego') Total Voting Rights In conformity with the Transparency Directives transitional provision 6 we wouldlike to notify the market of the following: On 9th May 2007 the Company's issued Share Capital was increased by the issue of 647,399 (six hundred and forty seven thousand three hundred and ninetynine) ordinary shares of 20p each. These will rank pari-passu in all respectswith the existing shares in issue and have been issued in part-consideration forthe acquisition of SIFAM Fibre Optics Ltd. The Company' share capital now consists of 18,710,053 ordinary shares of 20peach with voting rights and holds zero ordinary shares in Treasury. The above figure of 18,710,053 (Eighteen million seven hundred and ten thousandand fifty three) may be used by shareholders as the denominator for thecalculation by which they will determine if they are required to notify theirinterest in or a change in their interest in, Gooch & Housego under the FSA'sDisclosure and Transparency Rules.
