VOTING RIGHTS AND CAPITAL

In accordance with the Financial Conduct Authority's (FCA) Disclosure Guidance and Transparency Rule 5.6.1R, Shaftesbury PLC (the "Company") would like to notify the market of the following: 

As at 11 December 2017, the Company's issued share capital consists of 307,290,263 Ordinary Shares of 25 pence each with voting rights. The Company does not hold any treasury shares. Therefore, the total number of voting rights in the Company is 307,290,263.

The above figure (307,290,263) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
