In conformity with the Financial Services Authority's Disclosure and Transparency Rules, the issued share capital of Stagecoach Group plc as at 31 January 2009 was as follows:

The total shares in issue has not changed since 30 December 2008.
The above shares in issue of 719,145,101 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Stagecoach Group plc under the Financial Services Authority's Disclosure and Transparency Rules.
