VOTING RIGHTS AND CAPITAL

In conformity with the Transparency Directive's transitional provision 6 we would like to notify the market of the following: 

CareTech's issued share capital consists of 49,556,325 ordinary shares with a nominal value of 0.5p each ('Ordinary Shares'). CareTech does not hold any Ordinary Shares in Treasury.

Therefore, the total number of voting rights in CareTech is 49,556,325.

The figure of 49,556,325 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, CareTech under the FSA's Disclosure and Transparency Rules.
