Mears Group PLC30 April 2007 Total Voting Rights In conformity with the Transparency Directive's transitional provision 6 theBoard of Mears Group plc ("the Company") notifies the following: As at the date of this announcement, the Company's issued share capital consistsof 72,462,999 ordinary shares with a nominal value of 1p each, with votingrights ("Ordinary Shares"). The Company does not hold any Ordinary Shares in Treasury. Therefore the total number of Ordinary Shares in the Company with voting rightsis 72,462,999. The increase in the number of shares (10,875,403 shares) relates to the exerciseof share options under Mears' employee share option schemes, the shares issuedpursuant to the Placing announced on 5 March 2007 and valid acceptances by Careforce Shareholders electing for new Mears Shares pursuant to the Offer forCareforce announced on 5 March 2007. The above figure of 72,462,999 Ordinary Shares may be used by shareholders inthe Company as the denominator for the calculations by which they willdetermine if they are required to notify their interest in, or a change to theirinterest in, the share capital of the Company under the Financial ServiceAuthority's Disclosure and Transparency Rules.
