Total Voting Rights

1 July 2013 FirstGroup plc Voting Rights and Capital In conformity with the FSA's Disclosure and Transparency Rule 5.6.1, FirstGroupplc advises that as at 1 July 2013 its capital consists of 1,204,926,756ordinary shares of 5 pence each. FirstGroup plc holds 160,779 of its ordinaryshares in treasury. Therefore, the total number of voting rights in FirstGroupplc is 1,204,765,977. The above figure (1,204,765,977) may be used by shareholders as the denominatorfor the calculations by which they determine if they are required to notifytheir interest in, or a change in their interest in, FirstGroup plc under theFSA's Disclosure and Transparency Rules.
