Total Voting Rights

As at 31 July 2013, the issued share capital of the Company (excluding 30,754,797 Sterling shares held in treasury) is as follows:

Sterling Shares: 443,913,238

Euro Shares: 8,687,526

US Dollar Shares: 119,151,694

All shareholders have equal voting rights based on the number of shares held. Accordingly, the total number of voting rights in the Company is 571,752,458 (excluding 30,754,797 Sterling Shares held in treasury) and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure and Transparency Rules.
