Total Voting Rights

For the purposes of the Transparency Directive, and following the admission of shares to trading pursuant to the exercise of the Company's Employee Share Options and the Issue of Shares in respect of the acquisition of a 92.94% equity interest in Beihai Perfuming Garden Juice Company Limited, Asian Citrus wishes to confirm that its total issued share capital as at the date of this announcement is 1,031,282,740.

The Company's issued and fully paid share capital consists of 1,031,282,740 ordinary shares of HK$0.01 each, with one voting right per share and holds no Ordinary Shares in Treasury.

The total number of voting rights in the Company is therefore 1,031,282,740.

The above figure of 1,031,282,740 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company, under the FSA's Disclosure and Transparency Rules.
