CareTech Holdings PLC (AIM: CTH), a pioneering provider of specialist social care and education services to adults and children in the UK, announces that pursuant to its block admission facility, details of which were announced on 7 May 2019, it has recently issued 30,000 ordinary shares of 0.5 pence each ("Ordinary Shares") in satisfaction of the exercise of share options. The new Ordinary Shares rank pari passu with the Company's existing shares.

In accordance with DTR 5.6.1 of the Financial Conduct Authority's Disclosure Guidance and Transparency Rules, as at 23 January 2020, the Company has 111,722,840 Ordinary Shares in issue. There are no shares held in treasury. The total number of voting rights in the Company is therefore 111,722,840.

The above figure of 111,722,840 may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.

Further to the Company's announcement on 23 December 2019 regarding its investment into AS Group, the investment and associated issue of 431,465 Consideration Shares in satisfaction of the Initial Consideration for the investment is now expected to complete in February and has not been included in the above figure for the total number of voting rights in the Company.

The capitalised terms used in this announcement have the meaning as defined in the announcement published by the Company at 7 a.m. on 23 December 2019 unless otherwise stated.
