Total Voting Rights

Pursuant to Rule 5.6.1 of the Disclosure and Transparency Rules, Friends Life notifies the market of the following:

As at close of business on 28 November 2014, the Company had 1,409,052,028 issued ordinary shares of no par value each admitted to trading. Each ordinary share carries the right to one vote in relation to all circumstances at general meetings of the Company. The Company does not hold any shares in treasury.

Therefore, the total number of voting rights in the Company is 1,409,052,028. This figure may be used by shareholders (and others with notification obligations) as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.

During the month, the Company re-purchased and cancelled 9,057,000 ordinary shares.

For the avoidance of doubt, the number of issued ordinary shares of no par value noted above is consistent with the Rule 2.10 Announcement made on 25 November 2014.
