In conformity with the FSA's Disclosure and Transparency Rules, we would like to notify the market of the following:

As at 31 October 2012, the Company's issued share capital consists of 132,594,882 Ordinary Shares of £0.01 each and 132,300,000 C Shares of £0.01 each. The total issued share capital with voting rights is 264,894,882.

The above figure 264,894,882 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, GCP Infrastructure Investments Limited, under the FSA's Disclosure and Transparency Rules.
