Issue of Shares and Total Voting Rights

In accordance with PRM 1.6.4R, Helios Towers plc (the "Company") announces that it has issued and allotted 8,500,000 ordinary shares of £0.01 each, all with voting rights to the Company's Employee Benefit Trust, in connection with the future vesting of awards held under the Company's Long-Term Incentive and Global Share Purchase Plans. The shares were issued between 1 March 2026 and 31 March 2026.

On their issue and allotment these shares were admitted to trading on the London Stock Exchange Main Market under an existing block admission to trading dated 2 July 2025 and are fungible with all other ordinary shares of £0.01 each already admitted to trading.

Following the above issue of shares, in accordance with DTR 5.6.1, as at the date of this announcement, the Company's issued ordinary share capital consists of 1,046,439,757 ordinary shares of £0.01 each, all with voting rights, and 1,046,439,757 ordinary shares are admitted to trading. There are no shares held in treasury.

The total number of voting rights in the Company is therefore 1,046,439,757.

The above figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change of their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
