Voting Rights and Capital
In conformity with Rule 5.6 of the FCA's Disclosure and Transparency Rules:-
The total issued share capital of Smith & Nephew plc at 31 May 2013 comprises 966,382,143 Ordinary Shares of US20¢ each, including 60,733,759 Ordinary Shares held in treasury.
The Company's issued share capital, with one voting right per share, therefore consists of 905,648,384 Ordinary Shares of US20¢ each. This is the figure which should be used by shareholders as the denominator when determining whether they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
These figures exclude the 250,000 Ordinary Shares of US20¢ each purchased by the Company yesterday, which are yet to settle into Treasury.
