Voting Rights and Capital

In accordance with the FCA's Disclosure and Transparency Rule 5.6.1, the Company advises that, as at 30 June 2019, the total issued share capital consisted of 139,540,183 Ordinary Shares of 5 pence each.

The Company holds 11,141,900 shares in Treasury.

Therefore, the total number of voting rights in the Company is 128,398,283.

The above figure (128,398,283) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.

The total number of voting rights above (128,398,283) includes the 129,000 shares purchased by the Company on 26 June 2019 and the 132,000 shares purchased by the Company on 27 June 2019 which will be cancelled following settlement.
