For the purposes of the Financial Services Authority's Disclosure andTransparency Rules, the Company's total issued ordinary share capital at 31December 2012, comprises 742,064,910 ordinary shares of 10p each with onevoting right per share. The Company does not hold any shares in treasury.

Therefore the total number of voting rights in SEGRO plc is 742,064,910.

The above figure may be used by shareholders as the denominator for thecalculations by which they will determine if they are required to notify theirinterest in, or a change to their interest in, the Company under the Disclosureand Transparency Rules.
