MITIE Group PLC (the "Company") - Voting Rights and Capital

Further to the announcement made on 2 September 2010 and in accordance with the Disclosure and Transparency Rules (DTR 5.6) the Company hereby notifies the market that as at 30 September, the issued share capital and voting rights of the Company are as follows:

Total number of issued shares: 356,537,391

Voting rights per share: 1

Total number of voting rights

for each class of issued shares: 356,537,391

Total number of shares held

in treasury: 0

The above figure includes 5,948,383 shares currently held in the Company's employee benefit trust that are excluded from the Company's EPS calculation.

The total number of voting rights may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest, or a change to their interest, in the Company under the FSA's Disclosure and Transparency Rules.
