Notification of alteration to total voting rights in accordance with the FSA'sDisclosure and Transparency Rules provision 5.6.1R.

The Company advises that its capital consists of 668,786,932 ordinary shares of2 1/15p each, as at 30 April 2013. The voting rights of these shares areidentical with each share carrying the right to one vote. The Company currentlyholds 11,725,696 ordinary shares in Treasury. Therefore, the total number ofvoting rights in Capita plc is 657,061,236.

The above figure, 657,061,236, may be used by shareholders as the denominatorfor the calculations by which they will determine if they are required tonotify their interest in, or change to their interest in, Capita plc under theFSA's Disclosure and Transparency Rules.

In addition, the above figure includes 3,325,359 shares currently held by theCapita Employee Benefit Trust and therefore excluded from the Company's EPScalculation.
