VOTING RIGHTS AND CAPITAL In accordance with the Financial Services Authority's Disclosure andTransparency Rules, Halma p.l.c ('Halma') confirms that the total number ofordinary 10 pence shares of Halma in issue at the date of this notice hasincreased to 373,537,695. The increase results from the issue of shares to meetthe exercise of options under the 1996 Unapproved Executive Share Option SchemeAgreement and the 1999 Company Share Option Plan. Halma holds 805,635 shares in Treasury. Therefore the total number of voting rights in Halma is 372,732,060. The above figure of 372,732,060 may be used by shareholders as the denominatorfor the calculations by which they will determine if they are required to notifytheir interest in, or a change to their interest in, Halma under the FSA'sDisclosure and Transparency Rules.
