The following notification is made in accordance with the UK Financial Conduct Authority Disclosure Guidance and Transparency Rule 5.6.1.

On 28 October 2016, the issued share capital of HSBC Holdings plc with voting rights was 19,887,875,012 ordinary shares of US$0.50 (excluding treasury shares) and a further 177,889,598 ordinary shares of US$0.50 are held in Treasury.

Therefore, the total number of voting rights in HSBC Holdings plc is 19,887,875,012. This figure for the total number of voting rights may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, HSBC Holdings plc under the FCA's Disclosure Guidance and Transparency Rules.

These figures exclude the 7,448,034 ordinary shares purchased by the Company, which had not settled as at 28 October 2016.
