Total Voting Rights

For the purposes of the Transparency Directive, the Company's total issued share capital at the date of this notice is 77,121,235.

The Company's issued and fully paid share capital consists of 77,121,235 ordinary shares of 3.5 pence each, with one voting right per share. In previous announcements of the Company's Total Voting Rights, shares held by the Company's Employee Benefit Trust were classified as Treasury Shares (as at 29 February 2012, this included 730,408 Ordinary Shares); as all of the shares now held by the Company's Employee Benefit Trust have been purchased on the open market, going forward these shares are no longer to be classified as Treasury Shares by the Company.

The total number of voting rights in the Company is therefore 77,121,235.

The above figure of 77,121,235 should be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company, under the FSA's Disclosure and Transparency Rules.
