Total Voting Rights

In accordance with the FSA's Disclosure and Transparency Rule 5.6.1 Vedanta Resources Plc ('Vedanta') today notifies the market of the following:

As at the date of this announcement Vedanta's issued share capital includes 296,093,663 ordinary shares of US 10 cents each, of which 270,980,450 carry voting rights in relation to all circumstances at general meetings of Vedanta. Vedanta currently holds 18,208,218 ordinary shares in treasury. The remaining 6,904,995 ordinary shares of US 10 Cents each were issued on the conversion of certain convertible bonds issued by one of Vedanta's subsidiaries. These 6,904,995 ordinary shares are held through a global depositary receipt and, as a result, carry no voting rights.

During the month 6,135,029 ordinary shares of US 10 cents each were issued after conversion of certain US$ 725 million 4.6% Guaranteed Convertible Bond due 2026.

The above figure of 270,980,450 may be used by shareholders (and others with notification obligations) as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, Vedanta under the FSA's Disclosure and Transparency Rules.
