Total voting rights

In accordance with paragraph 5.6.1(R) of the Disclosure and Transparency Rules, Friends Provident plc (the "Company") advises that as of the close of business on 31 May 2007, the Company's issued share capital now consists of 2,171,528,063 ordinary shares of 10p each, of which 21,672,706 are treasury shares. Accordingly, the Company's capital now consists of 2,149,855,357 ordinary shares with voting rights.
This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
