Total Voting Rights

PHOENIX GROUP HOLDINGS - TOTAL VOTING RIGHTS AND SHARE CAPITAL AS AT 31 October 2011

This announcement is made in accordance with DTR 5.6.1 R.

As at 31 October 2011 the issued share capital of Phoenix Group Holdings (the "Company") comprised 174,472,815 ordinary shares of €0.0001 nominal value each. There has been no further increase in the issued share capital since the Total Voting Rights announcement made on 7 October 2011.

Each ordinary share has one vote on a poll. The Company does not hold any shares in treasury.

Therefore, the total number of voting rights in the Company is 174,472,815. This figure may be used by shareholders as the denominator for the calculations by which they determine whether they are required to notify their interest, or a change to their interest, in the Company under the FSA's Disclosure and Transparency Rules.
